SportsFi Terms of Use

1. General

1.1 SportsFi Limited is a company incorporated in England and Wales, with company registration number 13839769 and its registered office at 71 Queen Victoria Street, London EC4V 4BE, United Kingdom (the "Company").

1.2 These Terms of Use set out the terms and conditions under which the Company provides access to information about its services via https://www.sportsfi.com and provides access to the Platform for Users and Authorised Users under a Subscription Agreement or Lender Subscription Terms.

2. License Grant and Right of Use

2.1 The Platform is made available under a Software-as-a-Service model pursuant to these Terms of Use and the Subscription Agreement.

2.2 By accessing the Website and/or using the Platform, each Website User, User and Authorised User agrees to be legally bound by these Terms of Use and acknowledges the Privacy Notice and Cookie Notice.

2.3 Subject to all limitations and restrictions, the Company grants the User a non-exclusive, non-transferable, non-sublicensable right to access and use the Platform solely for internal business purposes.

2.4 The User shall not permit subsidiaries, affiliates, or third parties other than Authorised Users to access the Platform unless expressly permitted in the Subscription Agreement.

2.5 Trial access may be granted for a limited period. Except for wilful misconduct, trial access is provided without warranties and liability.

3. Amendments to Terms of Use

The Company may update the Website, Platform and Terms of Use from time to time. Updated Terms take effect 30 days after publication. Continued use after the effective date means acceptance.

4. Platform User Account and Authorised Users

The User may create accounts for Authorised Users. Users and Authorised Users must keep account information accurate, maintain credential confidentiality, and notify SportsFi of any misuse. The User is liable for Authorised Users’ acts and omissions.

5. Platform Non-Permitted Uses

Users and Authorised Users must not allow unauthorised access, provide services to third parties unless agreed, republish Platform content, alter software, reverse engineer, decompile, disassemble, or create derivative works except as expressly permitted.

6. Website User, User and Authorised User obligations

The Website and Platform must not be used for unlawful activity, rights infringement, harmful content, malware, spam, or conduct that disrupts service integrity. SportsFi may suspend access to protect the Platform, users, or comply with law.

7. Links

Third-party links are provided for convenience only. SportsFi does not endorse or control third-party websites and is not responsible for their content, terms, or privacy policies.

Users may not frame, link, or deep-link the Platform without prior written consent. Requests may be sent to compliance@sportsfi.com.

8. IP Ownership

Except for the limited SaaS license, no ownership rights in the Platform or Company materials are transferred. The Company retains all rights not expressly granted.

Company and User trademarks remain the sole property of the respective owner. No copying or derivative works are allowed without express written permission.

9. Confidentiality

Each party must keep Confidential Information confidential and use it only to perform these Terms. Disclosure is allowed only where necessary and subject to equivalent confidentiality obligations or legal requirements.

Confidentiality obligations survive termination for ten (10) years.

10. User Data and Data Protection

The User is responsible for checking User Data for harmful components before upload and for maintaining User Data quality. The Company creates weekly backups.

The User grants SportsFi a non-exclusive, royalty-free license to access and process User Data as reasonably necessary to provide the Platform. Data protection obligations are set out in the Data Processing Annex.

11. Limitation of Liability

The Website and Platform are provided on an "as is" and "as available" basis. SportsFi disclaims warranties to the extent allowed by law. Liability that cannot be excluded is limited to direct losses only.

12. Indemnity

Website Users and Users agree to indemnify SportsFi against eligible third-party claims arising from unauthorised modifications, unlawful data disclosure/processing, or applicable law violations by that party and its affiliates/users/contractors.

13. Promotion of Cooperation

SportsFi may reference cooperation outcomes for promotional use, including use of the User name and logo in websites, decks, and marketing materials. SportsFi will act professionally and consider reasonable requests for future changes.

14. Severability

If any provision is invalid or unenforceable, remaining provisions remain effective. A valid substitute provision will apply that most closely reflects the intended economic purpose.

15. Assignment

Website Users, Users and Authorised Users may not assign rights or obligations without prior written consent. SportsFi may transfer rights/obligations with at least fourteen (14) business days notice.

16. Governing Law

These Terms and all related disputes (including non-contractual claims) are governed by English law and subject to the exclusive jurisdiction of the English courts.
